TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (hereinafter "T&Cs") govern the contractual relationship between AI COMMANDOS (hereinafter "AI COMMANDOS") and any legal or natural person (hereinafter "the Client") subscribing to the services offered via the ai-commandos.com platform. By using the site and services of ai-commandos.com, you unreservedly accept the following provisions, which are established in compliance with French regulations.

AI COMMANDOS offers, via ai-commandos.com, a SaaS platform dedicated to AI support for businesses. Services include (but are not limited to):

• Marketing expertise,
• Call management,
• Email writing,

As well as any other service or functionality that may be offered by ai-commandos.com.
Any unauthorized use, resale, sublicensing, or sharing of the platform is strictly prohibited.

Subscription plans

The services of ai-commandos.com are accessible via various monthly or annual subscriptions. The Client may choose from the plans offered on the site or via a separate contract.

Payment

Payment for the subscription is due in advance, by direct debit or credit card, according to the terms indicated at the time of subscription.
The subscription price may be revised; in this case, AI COMMANDOS will inform the Client by any means (email, publication on the site, etc.) before the new pricing takes effect.

No minimum commitment

Unless otherwise stated, subscribing to ai-commandos.com does not include a minimum commitment period. However, the Client remains required to pay in full for the period already started.

Failing termination by the Client under the conditions stated below, monthly or annual subscriptions may automatically renew for a period equivalent to the one initially subscribed.

Termination Policy:

Termination by the Client

Monthly subscription: The Client may terminate their monthly subscription at any time by sending a written request (email or other means provided by AI COMMANDOS). The termination takes effect the following month. The Client remains liable for the current month.
Annual subscription and phone top-ups: In the event of termination, no refund (full or partial) is provided for the remaining period.
Effect of termination: In the event of termination, access to services is cut off as soon as the termination takes effect. There is no extension until the end of the billing period unless expressly stated otherwise.

Termination for breach:

AI COMMANDOS reserves the right to immediately suspend or terminate the Client's subscription in the event of non-payment, illegal or non-compliant use with the T&Cs, or any manifest violation of intellectual property rights.

Termination fees

Unless otherwise stipulated in a specific commercial offer, no early termination fee is due. However, the Client cannot claim any prorated refund for the remaining period.

Excluding the cases referred to in the [Renewal and Termination of subscriptions] article, which provides that no refund is due (annual subscription, phone top-ups, etc.), you may contact us. For any request, the Client must justify their dissatisfaction and send their request to contact@ai-commandos.com. Specific conditions and processing times will be communicated to the Client on a case-by-case basis.

Recipients of services

The services of ai-commandos.com are intended exclusively for legally established businesses and professionals. Any use for personal purposes or unrelated to professional activity is not covered by these T&Cs.

User obligations

• The user agrees to comply with applicable laws and regulations.
• The user guarantees the truthfulness and compliance of the information provided, particularly that necessary for billing and payment.
• The user agrees not to infringe the intellectual property rights of AI COMMANDOS or third parties.

Liability for generated content

In the event of using AI features to create or generate content (emails, texts, etc.), the Client remains solely responsible for the final content and its use.

AI COMMANDOS processes personal data in compliance with the GDPR (General Data Protection Regulation) and applicable French laws. The data collected is used to provide, maintain, and improve our services.

• Confidentiality: Data is never sold to third parties without your consent, unless a legal obligation or request from a competent authority.
• Security Measures: AI COMMANDOS implements technical and organizational measures to ensure the security and confidentiality of data (encryption, audits, etc.).
• Exercise of Rights: For any questions regarding the management of your data or to exercise your rights (access, rectification, deletion, opposition, etc.), you can contact rgpd@ai-commandos.com.

All content, software, documents, and resources associated with ai-commandos.com (including trademarks, logos, text, graphics, etc.) are protected by intellectual property rights and belong exclusively to AI COMMANDOS or its licensors.

Any unauthorized reproduction, representation, modification, distribution, adaptation, or exploitation, in any form whatsoever, is strictly prohibited.

By subscribing to the services, the Client only benefits from a personal, non-exclusive, and non-transferable right of use, strictly limited to the duration of the subscribed subscription.

No guarantee of results

AI COMMANDOS does not guarantee obtaining specific financial or commercial results. Tools and advice offered via ai-commandos.com are decision aids, but the Client remains solely responsible for the use they make of them and the decisions they take.

Indirect damages

AI COMMANDOS cannot be held responsible for indirect damages (loss of turnover, loss of data, commercial prejudice, etc.) resulting from the use or inability to use the platform.

Use of AI

Responses or content generated by AI may contain errors or limitations. The Client acknowledges being informed of this and agrees to verify the compliance and relevance of the information provided before any use.

Technical support

AI COMMANDOS provides the Client with a support service accessible by email at contact@ai-commandos.com or any other channel indicated on the site.
Opening hours and response times are specified on the site or in the contractual documentation.

Maintenance

AI COMMANDOS reserves the right to perform scheduled maintenance operations that may cause a temporary interruption of services. The Client will be informed, as far as possible, with reasonable notice.
In the event of emergency corrective maintenance, access to services may be suspended without prior notice, particularly for safety reasons.

Neither party may be held liable for a breach of its contractual obligations if this breach results from a case of force majeure as defined by French law or jurisprudence (natural disaster, conflict, infrastructure failure, etc.). The parties' obligations will be suspended for the duration of the force majeure event. If it extends beyond three (3) months, either party may terminate the contract by written notice, without compensation.

AI COMMANDOS reserves the right to assign or transfer this contract as well as all or part of its rights and obligations to any affiliated entity or as part of a merger, acquisition, or reorganization, subject to informing the Client in advance.

The Client may not assign or transfer the subscription or its rights and obligations arising from these T&Cs to a third party without AI COMMANDOS's prior written consent.

These T&Cs are governed by French law.
In the event of a dispute relating to the validity, interpretation, or execution of these T&Cs, the parties will strive to find an amicable solution. Failing an agreement, the dispute will be under the exclusive jurisdiction of the courts under the Commercial Court of Aix-en-Provence.

AI COMMANDOS reserves the right to modify all or part of these T&Cs at any time, in particular to adapt them to legislative, regulatory, or technological developments. Substantial modifications will be notified to the Client by email or by any other appropriate means. The Client is invited to regularly consult the updated T&Cs, available on the ai-commandos.com website. By continuing to use the services after the publication of the new T&Cs, the Client is deemed to accept them.

Entire Agreement

These T&Cs, supplemented where appropriate by a specific contract or purchase order, constitute the entire agreement between AI COMMANDOS and the Client. They cancel and replace any prior agreement, written or oral, regarding the same subject matter.

Partial Invalidity

If one or more provisions of these T&Cs are held to be invalid or declared void pursuant to a law, a regulation, or following a final decision of a competent court, the other provisions will not be affected and will retain their full effect.
